1. Introduction
These Terms of Service (“Terms”) govern your use of the services provided by Plum Systems (PTY) LTD (“Company”, “we”, “our”, or “us”), a digital technology provider registered and operating in the Republic of South Africa (Reg No. 2014/104431/07, VAT No. ZA4670292780). By engaging with our services, you agree to these Terms. If you do not agree, please do not use our services.
2. Services Provided
We offer a range of digital technology services including:

Custom app, website, and software development

Connectivity solutions (e.g., internet, networking, hosting)

Supply and installation of hardware and IT infrastructure
All services are subject to the terms and conditions contained herein.
3. Client Obligations
You agree to:

Provide accurate and complete information necessary for us to deliver services

Cooperate with our team during project development and implementation

Make timely payments as per the agreed quotation or invoice

Comply with all applicable laws and regulations
4. Quotations and Payment

All quotes are valid for 14 days unless stated otherwise.

A deposit of [e.g., 50%] is required to commence work.

Remaining balances are due upon completion, or as defined in the project milestones.

Late payments may incur interest at a rate of 2% per month.
5. Intellectual Property

All intellectual property created by Plum Systems (PTY) LTD (including but not limited to code, designs, and documentation) remains our property until full payment is received.

Upon final payment, ownership of project-specific IP is transferred to the client, except for third-party software, libraries, or tools under separate licenses.
6. Hosting & Connectivity Services

Hosting and connectivity services are provided on a subscription basis.

Service interruptions may occur due to maintenance or third-party outages; we strive to minimize downtime but do not guarantee 100% uptime.

Clients are responsible for the security and backups of their data unless explicitly included in the service agreement.
7. Hardware Sales

Hardware is supplied based on availability and subject to manufacturer warranties.

Faulty or damaged hardware must be reported within 7 days of delivery.

We do not accept returns on hardware unless defective or not as ordered.
8. Support & Maintenance

Support services are offered during business hours (Monday–Friday, 08:00–17:00 SAST).

Ongoing maintenance and updates are available through separate service level agreements (SLAs).
-
Emergency support may be subject to additional charges.
9. Confidentiality
Both parties agree to maintain confidentiality of proprietary or sensitive information exchanged during and after the duration of the service relationship.
10. Limitation of Liability
To the maximum extent permitted by South African law, Plum Systems (PTY) LTD is not liable for:

Indirect, incidental, or consequential damages

Loss of data, profits, or business interruption

Failures resulting from misuse, unauthorized access, or third-party services
11. Termination

Either party may terminate services with 30 days’ written notice.

We may terminate or suspend services immediately if you breach these Terms or fail to pay.

Upon termination, all outstanding fees become immediately due.
12. Dispute Resolution
In the event of a dispute, parties agree to attempt to resolve the issue through negotiation. If unresolved, the matter may be referred to arbitration in accordance with the Arbitration Foundation of Southern Africa (AFSA) rules.
13. Governing Law
These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa.
14. Amendments
We may update these Terms from time to time. You will be notified of significant changes, and continued use of our services constitutes acceptance of the updated Terms.
